Provider Agreement

This Provider Agreement ("Agreement") supplements and is incorporated into the skilld.pro Terms of Service. By registering as a service provider on skilld.pro, you agree to this Agreement in addition to the Terms of Service. In the event of a conflict, this Agreement controls with respect to provider-specific matters.

1. Independent Contractor Relationship

You are an independent contractor, not an employee, agent, or partner of skilld.pro or 2164, LLC. This Agreement does not create any employment, franchise, joint venture, or partnership relationship.

As an independent contractor, you:

• Control how, when, and where you perform services
• Set your own prices and negotiate directly with customers
• Provide your own tools, equipment, and materials
• Are responsible for your own taxes, including self-employment tax
• Are not entitled to any employee benefits from skilld.pro
• May work for other platforms or clients simultaneously

skilld.pro does not control or direct the manner in which you perform services. Nothing in this Agreement is intended to create an employment relationship under California AB5 or any other applicable law.

2. Licensing, Insurance, and Compliance

You represent and warrant that:

• You hold all licenses, certifications, and permits required by applicable federal, state, and local law to perform the services you offer
• You carry adequate general liability insurance and, where applicable, workers' compensation insurance
• You will comply with all applicable laws and regulations in performing services, including but not limited to California Contractor's State License Law (Bus. & Prof. Code §7000 et seq.) where applicable
• You will not represent yourself as licensed, bonded, or insured unless you are

skilld.pro does not verify your licenses, certifications, insurance, or compliance with applicable law. You are solely responsible for maintaining all required credentials and for the consequences of failing to do so.

3. Platform Fees

By accepting a job through the Platform, you agree to pay the applicable booking fee. Fee amounts are described on our Pricing page. Fees are charged at acceptance and are non-refundable except as described in our Refund and Cancellation Policy.

You agree not to circumvent platform fees by arranging payment or ongoing work with customers you first contacted through skilld.pro outside of the Platform. Fee circumvention is grounds for immediate account termination and may result in additional legal remedies.

4. Service Quality and Conduct

You agree to:

• Perform services in a professional, workmanlike manner
• Accurately represent your skills, experience, and services on your profile
• Respond to customer inquiries in a timely manner
• Communicate respectfully and professionally with all customers
• Honor agreed-upon pricing, scope, and scheduling
• Notify customers promptly if you are unable to perform a scheduled job

5. Liability for Services

You are solely responsible for the quality, safety, and legality of the services you provide. skilld.pro is not liable for:

• Property damage caused by your work
• Personal injury arising from your services
• Disputes between you and customers regarding work quality or payment
• Your failure to obtain required permits or comply with applicable law
• Any claims by customers, third parties, or government agencies arising from your services

You agree to indemnify, defend, and hold harmless skilld.pro and its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, and costs (including attorneys' fees) arising from your services, your profile content, or your violation of this Agreement.

6. Background Checks

skilld.pro does not conduct background checks, criminal history checks, or identity verification on service providers. Customers are notified of this limitation. You represent that there are no legal impediments to your ability to perform the services you offer.

7. Reviews

You acknowledge that customers may leave reviews of your services on the Platform. You agree not to solicit fake reviews, offer incentives for reviews, or threaten or retaliate against customers for negative reviews. Violation of this policy is grounds for account termination.

You may respond to reviews through normal Platform messaging. We do not remove reviews simply because they are negative, provided they comply with our review policy.

8. Profile Content

You are responsible for all content on your provider profile, including photos, descriptions, and service listings. By submitting profile content, you represent that it is accurate and that you have the right to use it. You grant skilld.pro a license to display your profile content on the Platform and in marketing materials related to skilld.pro.

9. Termination

skilld.pro may suspend or terminate your provider account at any time for any reason, including but not limited to: violation of this Agreement or the Terms of Service, customer complaints, fraudulent activity, or inactivity. You may deactivate your account at any time by contacting [email protected].

Termination does not relieve you of any payment obligations incurred prior to termination.

10. Modifications

We may update this Agreement from time to time. We will notify you of material changes by email. Continued use of the Platform after notice of changes constitutes acceptance of the updated Agreement.
