Terms of Service

1. Acceptance of Terms

By accessing or using skilld.pro ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all visitors, registered users, customers, and service providers. Your continued use of the Platform after any changes to these Terms constitutes acceptance of the updated Terms.

2. Description of Platform

skilld.pro is an online marketplace that connects customers seeking local home and personal services with independent service providers. We are a technology platform only. We do not provide services directly, employ service providers, or supervise the work performed. All services are provided solely by independent third-party providers.

We do not guarantee the availability, quality, safety, or legality of any service listed on the Platform. We are not responsible for the acts or omissions of any provider or customer.

3. Eligibility

You must be at least 18 years of age to use this Platform. By registering, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. The Platform is intended for use within the United States.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to update it as necessary. We reserve the right to suspend or terminate accounts that contain false or misleading information.

You may not share your account with others or use another person's account without permission. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

5. Independent Contractor Status

Service providers on skilld.pro are independent contractors, not employees, agents, partners, or joint venturers of skilld.pro or 2164, LLC. Nothing in these Terms creates an employment relationship between skilld.pro and any service provider.

Providers are solely responsible for determining how, when, and where they perform services; setting their own rates; providing their own tools and equipment; and complying with all applicable laws, including California's AB5 and any applicable licensing requirements for their trade or profession.

skilld.pro does not control the means or methods by which providers perform services and does not supervise, direct, or control their work.

6. Provider Verification Disclaimer

skilld.pro does not verify, screen, or background-check service providers. We do not confirm that providers hold any required licenses, certifications, or insurance. We do not run criminal background checks on providers.

Customers are solely responsible for independently verifying a provider's credentials, licensing, insurance, and suitability before hiring them. skilld.pro strongly encourages customers to ask providers for proof of licensing and insurance before any work begins.

By using the Platform, customers acknowledge and accept this limitation.

7. Prohibited Conduct

You agree not to use the Platform to:

• Post false, misleading, or fraudulent information
• Harass, threaten, or abuse other users
• Circumvent platform fees by arranging off-platform transactions with users you first contacted through skilld.pro ("fee circumvention"). Fee circumvention is a material breach of these Terms and may result in immediate account termination.
• Submit fake reviews or manipulate the review system
• Violate any applicable federal, state, or local law or regulation
• Upload malicious code or interfere with Platform operations
• Use automated tools to scrape, crawl, or harvest data from the Platform
• Impersonate another person or entity

8. Booking Fees and Payment Terms

skilld.pro charges service providers a per-job booking fee when they accept a job through the Platform. Fee amounts are described on our Pricing page and are subject to change with reasonable notice.

Booking fees are charged at the time a provider accepts a job and are non-refundable except as described in our Refund and Cancellation Policy. Fees cover the cost of the confirmed connection between provider and customer, not the successful completion of the job.

Providers on the Pro plan pay a flat monthly subscription fee in lieu of per-job fees. Subscription fees are non-refundable except as required by applicable law.

All payments are processed by Stripe. By using the Platform, you agree to Stripe's terms of service.

9. Refunds and Cancellations

Our refund and cancellation policy is described in full in our separate Refund and Cancellation Policy, which is incorporated into these Terms by reference.

10. Reviews

Reviews may only be submitted by customers who have completed a verified booking through the Platform. We do not allow paid, incentivized, or fake reviews. Reviews represent the opinions of individual users and do not represent the views of skilld.pro.

We reserve the right to remove reviews that violate these Terms, contain profanity, are factually false, or are submitted in bad faith. We do not edit review content.

11. Disputes Between Users

skilld.pro is not a party to any agreement between customers and service providers. If a dispute arises between a customer and a provider, the parties are responsible for resolving it directly. skilld.pro may, at its sole discretion, attempt to facilitate resolution but is under no obligation to do so and will not be liable for any outcome.

12. Limitation of Liability

To the fullest extent permitted by law, skilld.pro and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to property damage, personal injury, lost profits, or loss of data, arising from:

• Your use of or inability to use the Platform
• Services performed or not performed by any provider
• Any content posted by users on the Platform
• Unauthorized access to your account
• Any conduct of third parties on or through the Platform

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim, or (b) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless skilld.pro and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) services you provide or receive through the Platform; or (d) your violation of any third party's rights.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Platform ("Dispute") shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Class Action Waiver: You waive any right to bring or participate in a class action, class arbitration, or representative action. All Disputes must be brought in your individual capacity only.

If the arbitration clause is found unenforceable, Disputes shall be resolved exclusively in the state or federal courts located in Tulare County, California, and you consent to the personal jurisdiction of those courts.

16. Governing Law

These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. The Federal Arbitration Act governs the arbitration clause in Section 15.

17. SMS Terms

By providing your phone number on skilld.pro, you agree to the following SMS terms. For complete details, see our Privacy Policy, Section 4.

Program Description

skilld.pro sends transactional SMS notifications to help you stay informed about activity on your account, including new messages, job details, and booking confirmations. These are service notifications, not marketing messages.

Opt-In

You opt in to receive SMS notifications by providing your phone number during account registration or in your profile settings. By saving your phone number, you consent to receive transactional text messages from skilld.pro at that number.

Opt-Out / How to Cancel

You may opt out of SMS notifications at any time by:

• Replying STOP to any text message from us. You will receive one final confirmation message and no further messages will be sent.
• Removing your phone number from your profile settings at skilld.pro/Account/MyProfile.

Help

Message Frequency

Message frequency varies based on your platform activity. We limit notifications to avoid sending redundant messages when you are actively using the platform.

Costs

Message and data rates may apply. skilld.pro does not charge for SMS notifications, but your mobile carrier's standard rates apply.

Supported Carriers

Messages are supported by most major US carriers. Carrier support and message delivery are not guaranteed. Carriers are not liable for delayed or undelivered messages.

Privacy

Your phone number is never sold or shared with third parties for marketing purposes. For full details, see our Privacy Policy.

18. Intellectual Property

All content on the Platform — including the skilld.pro name, logo, design, text, and software — is owned by 2164, LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

By submitting content to the Platform (including reviews, messages, and profile information), you grant skilld.pro a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating the Platform.

19. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may delete your account at any time by contacting [email protected]. Termination does not relieve you of any obligations incurred prior to termination.

20. Changes to Terms

We may update these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
